These Terms of Service ("Terms") govern your access to and use of EduOpus, our school management platform available via our official EduOpus Staff App on Google Play and associated web portals, provided by Axoneura ("we", "our", or "us").

1. Who We Are and Acceptance of Terms

Axoneura is a software development company registered in India. EduOpus is our cloud-based school ERP platform designed to help schools streamline student records, staff, attendance, fee collections, homework, and communication.

By accessing or using EduOpus, school administrators, principals, teachers, staff, parents, and guardians agree to be legally bound by these Terms and our Privacy Policy. If you use EduOpus on behalf of a school or educational institution, you represent that you have the authority to accept these Terms on behalf of that institution.

2. The Service

EduOpus provides administrative and educational management tools to schools under subscription or service agreements with Axoneura. Core features include:

  • Student profile and academic record management
  • Staff roster and role management
  • Daily attendance tracking and reporting
  • Fee management, receipt generation, and automated recurring payment mandates via UPI AutoPay
  • Homework assignment creation, distribution, and submission tracking
  • Parent communication and notification systems

Axoneura grants authorized schools and users a non-exclusive, non-transferable, revocable license to access and use the platform solely for legitimate educational and institutional administrative purposes.

3. Accounts, Roles, and Access Security

Access to EduOpus is strictly role-based:

  • Authorized Credentials: Users (including principals, accountants, teachers, and parents) access EduOpus via individual login credentials issued by their school or verified through authorized school onboarding.
  • Credential Protection: Each user is solely responsible for maintaining the confidentiality of their credentials and for all activities that occur under their account.
  • School Administration: Schools are responsible for provisioning, modifying, and promptly revoking staff access upon role changes or termination of employment.
  • Notice of Breach: Users must promptly notify their school administrator and Axoneura upon discovering any suspected unauthorized access or account compromise.

4. AI Assistant Integration (Model Context Protocol)

EduOpus offers an optional integration that allows a school principal to connect an external AI assistant (such as Claude by Anthropic or ChatGPT by OpenAI) to their EduOpus account via OAuth login using their own EduOpus credentials and the Model Context Protocol (MCP).

When connected, the integration functions under strict technical controls:

  • Permission Scope: The AI assistant operates strictly within the connecting principal's pre-existing account permissions. It cannot access data from any other school or perform actions beyond what that principal is already authorized to execute manually in EduOpus.
  • Authorized Read Operations: The AI assistant can read school overview metrics, fee collection status, attendance records, pending enrollment applications, staff roster, homework assignments and submission status, media/gallery, and individual student profiles (with guardian contacts and full payment ledgers retrieved only upon explicit principal instruction).
  • Authorized Write Operations: The AI assistant can create or update (never delete) homework assignments, attendance records, and student profiles, including bulk student imports.
  • Accountability and Audit Trail: Because the integration acts under the principal's credentials, the connecting principal and their school are responsible for all queries submitted and actions taken through the AI assistant. Every write action is logged and attributed to the principal's account in EduOpus internal activity audit logs.
  • Third-Party Handling: Information exchanged with the AI assistant is transmitted to the respective AI provider (Anthropic or OpenAI) and is subject to that provider's own privacy policy and terms of service during conversation processing.
  • Voluntary and Revocable: This integration is entirely optional. No school data is ever shared with an AI assistant unless a principal actively connects one. Principals can disconnect the integration at any time from their EduOpus account settings (under Integrations / Connected Apps) or by revoking authorization directly within their AI assistant provider account.

5. Payment Processing and Fee Terms

EduOpus facilitates fee collection between schools and parents:

  • Regulated Payment Rails: All monetary transactions — including tuition fee payments, UPI AutoPay recurring mandates, and transaction fees — are processed through RBI-approved payment aggregators and banking partners.
  • Technology Intermediary: Axoneura provides software infrastructure and ledger reconciliation. Axoneura is not a bank, non-banking financial company (NBFC), or payment custodian, and does not hold or store parent or school funds beyond standard payment gateway settlement processing.
  • Refunds and Disputes: Fee amounts, due dates, fee structures, and refund policies are set by each school. Any fee disputes or refund claims must be resolved between the parent and the school.

6. Acceptable Use Policy

You agree not to misuse EduOpus. In particular, you must not:

  • Use the platform for any unlawful, fraudulent, or unauthorized purpose under applicable Indian law
  • Attempt to probe, scan, breach, or circumvent any security or authentication measures
  • Access or attempt to access data belonging to any other school, tenant, or unauthorized account
  • Reverse engineer, decompile, disassemble, or derive source code from EduOpus or its APIs
  • Interfere with or disrupt the integrity or performance of the platform or its connected networks
  • Scrape or extract data using automated bots or scripts without express written authorization
  • Use the AI assistant integration to process or transmit unauthorized, defamatory, or harmful content

7. Data Ownership and Privacy

School Data Ownership: All student records, attendance logs, academic files, fee ledgers, and contact information entered into EduOpus ("School Data") remain the exclusive property of the school. Axoneura acts solely as a data processor and service provider, not the data owner.

Our data protection practices, encryption standards, and handling of student information are set forth in our Privacy Policy, which is incorporated into these Terms by reference.

8. Service Availability, Disclaimers, and Limitation of Liability

"As-Is" Provision: EduOpus is provided on an "AS IS" and "AS AVAILABLE" basis. Axoneura expressly disclaims all warranties of any kind, whether express, implied, or statutory, including warranties of merchantability, fitness for a particular purpose, and non-infringement.

Service Availability: While we maintain redundant cloud infrastructure and aim for uninterrupted uptime, we do not warrant that EduOpus will operate without interruption, delays, or errors, or that external integrations (such as banking networks, SMS/WhatsApp gateways, or third-party AI systems) will be continuously available.

Limitation of Liability: To the maximum extent permitted by applicable law, in no event shall Axoneura, its directors, employees, or partners be liable for any indirect, incidental, special, consequential, or punitive damages, including loss of profits, loss of data, or operational disruption arising out of or relating to your use of EduOpus.

Axoneura's aggregate liability for all claims arising out of or related to the service shall not exceed the total fees paid by your school to Axoneura for the Service during the twelve (12) months preceding the incident giving rise to liability.

9. Term and Termination

These Terms remain effective for as long as your school maintains an active EduOpus account or subscription.

Either party may terminate the service agreement in accordance with the agreed subscription contract. Axoneura reserves the right to suspend or terminate account access immediately if a user or school materially breaches these Terms or engages in activities that threaten the security of the platform.

Post-Termination Data: Upon account termination, schools may request an export of their School Data. In accordance with our Privacy Policy, Axoneura will permanently delete all school data within thirty (30) days of receiving a written deletion request following account termination.

10. Governing Law and Jurisdiction

These Terms shall be governed by and construed in accordance with the laws of India. Any disputes, claims, or proceedings arising out of or relating to these Terms or EduOpus shall be subject to the exclusive jurisdiction of the competent courts in Uttar Pradesh, India.

11. Changes to Terms

We may update these Terms periodically to reflect product improvements, new capabilities, or regulatory changes. When updates occur, we will revise the "Last updated" date at the top of this page. Continued use of EduOpus following any modifications constitutes your acceptance of the revised Terms.
